GoNJoy - Affiliate Application Form

* I, hereby declare that all the statements made in this declaration are true, complete and correct. I understand that any misrepresentation or omission of information shall be considered sufficient reason for withdrawal of an offer or subsequent dismissal as an affiliate. I shall do after sales service and also to ensure all merchants documents and/or affiliates documents and any other items as and when required by AO International Sdn Bhd to be provided.

* I understand that I need to upload required documents and payment slip(if payment required) for package activation within 10 days otherwise the application will be voided and further resubmission may required.

* I agree and abide with stated GoNJoy Affiliate Terms & Conditions.

Affiliate Terms and Conditions

This Agreement is entered between AO INTERNATIONAL SDN BHD (Co. No. 1428923-H), a company incorporated in Malaysia and having its registered office at 1 Tech Park, Lot 7.03, Level 7, Tanjung Bandar Utama, Bandar Utama, 47800 Petaling Jaya, Selangor, Malaysia (hereinafter referred to as "the Company") and the Applicant (hereinafter referred to as "the Applicant ") upon submission of the Affiliates Application Form by the Applicant to the Company and acceptance of such application by the Company.

Now the parties hereby agree:

1. Affiliates eligibilities

1.1. The Applicant hereby warrants that:

a. He/She is Eighteen (18) years old and above. Where the Applicant is a business entity, it warrants that it is valid and has been duly registered in accordance with the applicable laws. He/She further warrants that he/she is not an undischarged bankrupt and there is no bankruptcy petition against him/her;
b. If the Applicant holds more than One (1) active Affiliates, including by way of proxy or nominee, the earliest valid registered an Affiliate shall prevail and shall supersede all subsequent Affiliates. All such subsequent proxy or nominee Affiliates shall be deemed to be null and void. Any Affiliates subscription(s) paid for the subsequent Affiliates shall be forfeited; (NON PAID)
c. He/She has read and agrees to be bound by the terms and conditions of this Agreement, the Company's Rules and Regulations and Commission Plan currently enforced by the Company, and further agrees that the Company has the right and authority at any time to amend, alter, add or delete any of the aforesaid Terms and Conditions, Rules and Regulations and Commission, as it deems fit and necessary without prior notice; and
d. He/She shall during his/her Affiliates term, observe, abide and shall not infringe all laws, by-laws regulations of Malaysia.

1.2 The Applicant hereby agrees that the Company has the right and shall have the absolute discretion to reject any application within Thirty (30) days of the Company’s receipt of the Applicant's application without assigning any reason whatsoever.
1.3 The Applicant further understands that he/she must be of good standing, and not be in violation of any terms and conditions of this Agreement, provisions of the Company's Rules and Regulations and Commission Plan, in order to be eligible for Commission from the Company.
1.4 The Applicant shall not manipulate his/her Affiliates, devise any unauthorized scheme of arrangement whether directly or indirectly, in order to secure, earn or benefit from the Commission Plan or any other incentives offered by the Company.
1.5 The Applicant’s Affiliates may be transferred to his/her heirs, successors in title and / or personal representatives in the event of the Applicant’s demise or where the Applicant has been certified by a qualified medical practitioner to be permanently disabled or of unsound mind.

2. Cooling-off Period

2.1 The Applicant may request to rescind this Agreement within Ten (10) working days from the date of the application.

3. Independent Contractor Status

3.1 The Applicant acknowledges that nothing herein stipulated shall be construed to imply the formation of a partnership with the Company or to make the Applicant an affiliate, legal representative and / or employee of the Company.
3.2 The Applicant is an independent contractor and is NOT authorised by the Company to act on behalf of the Company, its affiliates, shareholders, directors, officers or employees nor shall the Company be liable or bound by any act or omission of the
Applicant.

4. General Terms

4.1 This Agreement shall be effective on the date of the Applicant's application being approved by the Company.
4.2 If the Applicant's Affiliates subscription is cancelled or terminated for any reason whatsoever, the Applicant shall not promote, introduce affiliates /merchant/members to the Company, nor shall the Applicant be eligible to receive Commission, Incentives and / or other benefits. In the event of cancellation, termination, the Applicant waives all his/her rights against the Company in respect of proprietary rights, Commission, incentives and all other remuneration or benefits.

5. Termination by Applicant

5.1 The Applicant may terminate this Agreement at any time point during the Affiliates term and for any reason, upon the submission of a written notification to the Company at its principal business address.
5.2 The Applicant may re-apply as a new affiliate after termination of his/her Affiliates, subject to the following:

a. The Applicant will be assigned back to the original referral who is still official in status within three (3) years or they can be free to be with any new referral affiliate after three (3) years has elapsed from the date of the original termination ;
b. The Applicant will need to submit a duly completed online application form to the Company. All direct lines previously under the Applicant will not be reinstated under the Applicant’s new Affiliates; and
c. The Applicant will have the entry-level position of a new “Affiliates”.

6. Company Disciplinary Action

6.1 The Company reserves the exclusive right to suspend and/or terminate the Applicant's Affiliates at any point in time if the Company finds or, is of the view or has reasons to suspect or believe that the Applicant has violated the terms and conditions of this Agreement, the provisions of the Company's Rules and Regulations, the provisions of the Company’s Commission Plan, all laws where the Applicant is domiciled and / or where the Company is operating in.
6.2 Pursuant to Clause 6.1 the Company reserves the exclusive right to withhold any Commission, incentives and / or benefits due under the suspended / terminated Affiliates.
6.3 The Company further reserves the right to institute any form of legal redress, suit, claim, demand and/ or seek injunctive relief against the Applicant for losses, damages sustained as a result of the Applicant’s breach, infringement and / or non-compliance herein.
6.4 Applicant’s Affiliate should not communicate ( including phone calls, emails, etc) directly with GoNJoy’s manufacturers, suppliers, or vendors without written permission from GoNJoy to arrange any dealing on any business arrangement. If found violation the affiliate is ground for immediate termination and reserve company take legal disciplinary action pursuant to Clause 6.1.

7. Affiliate Referral Payout Plan

7.1. Referral Payout Plan

a. In presenting the Company's Referral Payout Plan to prospects, the Applicant shall truthfully and honestly illustrate the earning potential of the Company's Referral Payout Plan and will make no specific representations of earnings and/or income guarantees to the prospects. The Applicant shall, at all times adhere and comply strictly with the requirements of the Act and / or all other applicable laws.
The Applicant further agrees that he/she shall not utilise any literature, materials or sales aids not produced, or specifically authorised in writing, by the Company for purposes of presenting the Referral Payout Plan.
b. The Applicant shall conduct its business in a professional manner that will enable all other affiliates to build their businesses ethically and fairly.

7.2 Amendment and variation of Referral Payout Plan

a. The Applicant agrees that the Company reserves the right to revise, amend and vary the Referral Payout Plan and the terms and conditions applicable to the Referral Payout Plan from time to time depending on market conditions and its performance with at least one month prior notice to the Applicant.
b. The Applicant agrees that the monthly payout shall be paid by way of direct crediting through e-wallet or other payment methods.
c. The monthly payout for any particular month shall be paid 30 days after the close of the month concerned.

8. Selling of Products and/or Services

8.1 The Applicant shall honestly and truthfully represent the quality, value and performance of the any products and/or services involved and shall not make any representation or claim about any products and/or services beyond those shown on product labels and/or in official company literature to reflect the integrity of the Company.
8.2 The Applicant shall not make any statements, claims or representations to customers or prospects other than those stated in the material provided by the Company.
8.3 Any statement, claim or representation made by the Applicant without the Company's consent will not be binding on the Company. The Applicant shall be liable to indemnify the Company for any claims and/or demands against the Company as a result of the Applicant's misrepresentation.
8.4 The promotion of the Company programs by Applicants via online or through other social / digital platforms, must be approved in writing by the Company. Any Applicant who fails to obtain the prior written approval of the Company, shall be in infringement of the provisions herein.

9. Intellectual Property

9.1 The Applicant agrees that any published materials, brochures, catalogues or magazines bearing the Company’s logo, trade name or trademark are the properties of the Company. Any reproduction of the said properties, including but not limited to screenshots, images or videos of such properties, without the Company's prior consent is strictly prohibited.
9.2 The Applicant further agrees that any usage of the Company's intellectual property shall be subject to the Company's approval and must be in accordance to the Company's Rules and Regulations.

10. Miscellaneous

10.1 Amendments of the Terms The Applicant understands that this Agreement may be amended at the sole discretion of the Company, and the Applicant agrees to abide by all such amendments. Notification of amendments shall be posted on the Company's website. Amendments shall become effective after Seven (7) days from the date of publication.
10.2 Confidentiality/Obligations The Applicant shall not disclose any of the trade secrets and/or information which is confidential and proprietary to the Company for any other purpose other than to develop the Applicant's business in relation to the Company.
10.3 Governing Laws The parties agree that this Agreement and all the documents executed or to be executed in connection herewith shall be construed / governed by the laws of Malaysia and the parties further agree to submit to the non-exclusive jurisdiction of the Courts of Malaysia.
10.4 Waiver Any waiver by the Company of any breach of this Agreement shall not operate or be construed as a waiver of any subsequent breach by the Applicant.
10.5 Invalidity If any provision of this Agreement is held to be invalid or unenforceable, such provision shall be reformed only to the extent necessary to make it enforceable, and the remaining of this Agreement will remain in full force and effect.
